Terms of Service

1. Contracting party and scope

Era Tech Global, Inc. (“Era Tech Global,” “we,” “us,” or “our”) owns and operates Engazly. Engazly is a software product and is not a separate company or contracting entity.

These Terms apply to Engazly websites, applications, Shopify integrations, onboarding, revenue-intelligence workflows, forecasting features, and other documented capabilities. An accepted order form, Founding Merchant offer, or other written agreement may contain additional terms. That accepted agreement controls only where it expressly conflicts with these Terms.

2. Eligibility and authority

Engazly is intended for business use. You must be legally capable of entering a binding agreement and authorized to act for the organization and Shopify store you connect. You are responsible for keeping account, store, billing, and business information accurate.

3. Accounts and access

You are responsible for protecting account credentials and authentication methods, limiting access to authorized personnel, and promptly reporting suspected unauthorized access through the secure Engazly contact form.

Access may depend on identity, Shopify connection, onboarding, payment, and entitlement checks. You may not share credentials, bypass access controls, or obtain capabilities outside approved entitlements.

4. Service description and controlled availability

Engazly provides revenue-intelligence, forecasting, analytics, executive-visibility, and action-prioritization workflows for Shopify merchants. Capabilities are released through documented availability and approved entitlements.

A feature may be generally available, limited, preview, beta, controlled, or unavailable. A public description does not guarantee that every capability is enabled for every account, plan, store, geography, or onboarding stage.

AI Support and Voice Concierge are not currently available for production conversations. They remain subject to separate implementation, security, cost, entitlement, and production gates.

5. Shopify connection and merchant permissions

Engazly may connect to Shopify through permissions approved by the merchant. Available workflows depend on the authorized permissions, Shopify-provided data, and store configuration. Purchasing a plan does not by itself authorize Shopify access.

You represent that you have authority to connect a store and permit processing of its data. You remain responsible for the Shopify account, storefront, customer relationships, notices, consents, and legal obligations. Restricting or disconnecting Shopify access may limit or disable Engazly features.

6. Forecasts, recommendations, and merchant responsibility

Engazly may provide forecasts, summaries, alerts, prioritization, and AI-assisted recommendations. These outputs are decision-support tools, not guarantees, professional advice, or substitutes for merchant judgment.

You remain responsible for reviewing and approving pricing, merchandising, inventory, marketing, financial planning, Shopify content, and other business actions. Important outputs should be validated against source systems and business context before use.

7. No guaranteed results

Engazly does not guarantee revenue, profit, conversion, growth, forecast accuracy, cost savings, or another business outcome. Results vary based on data quality, traffic, inventory, pricing, market conditions, merchant execution, customer demand, connected services, and factors outside Engazly’s control.

8. Plans, billing, and renewal

Intelligence, Growth, Growth Pro, and approved Managed Intelligence subscriptions are paid subscriptions. Current descriptions and prices appear on the Engazly pricing page or in an accepted written offer.

Unless an accepted written offer states otherwise, payment is collected when checkout succeeds and subscriptions renew automatically each month until canceled. You authorize the payment provider to charge applicable recurring fees, taxes, and accepted charges. Failed or disputed payments may result in restricted or suspended access.

Stripe processes current checkout payments. Engazly receives transaction and subscription records but does not receive full payment-card numbers from Stripe.

9. Usage limits, entitlements, and third-party costs

Plans and accepted offers may include limits, allowances, feature entitlements, onboarding conditions, or separately priced services. Engazly does not promise unlimited AI usage or fixed public AI quotas unless an accepted written offer expressly provides them.

10. 30-Day Money-Back Guarantee

A new qualifying merchant may request a refund of the initial subscription payment within 30 calendar days after the first successful payment. The guarantee is available once per merchant organization, beneficial owner, and verified Shopify store.

Renewals, add-ons, usage overages, separately scoped services, third-party costs, fraud, duplicate enrollment, chargebacks, deliberate resource abuse, and material Terms violations are excluded unless applicable law requires otherwise. Approved refunds return to the original payment method, and protected access ends through the refund workflow.

11. Founding Merchant Guarantee

A qualifying Founding Merchant may request a full refund within 30 calendar days after the first successful Founding payment. The qualifying activation fee and initial Founding commitment collected are included. Separately scoped services and third-party costs are excluded.

Participation does not guarantee selection, a product outcome, public launch date, revenue result, unlimited AI use, or access to unfinished capabilities.

12. Founding Months 4–12 Discount Eligibility

A Founding Merchant who completes the initial 90-day commitment may receive 50% off the standard recurring Founding tier price during months 4 through 12 while remaining in continuous good standing.

Continuous good standing requires undisputed Founding payments to remain current, no active chargeback or completed refund affecting the enrollment, compliance with these Terms and applicable plan limits, and no fraud, credential sharing, deliberate resource abuse, or material misuse.

Eligibility does not require a testimonial, endorsement, case study, specific revenue result, or uninterrupted Shopify connectivity. Ordinary outages, sync issues, Engazly interruptions, and good-faith payment disputes under review do not by themselves remove eligibility.

13. Cancellation

Available cancellation workflows may include cancellation at the end of the paid period, immediate cancellation, or cancellation and refund when the guarantee applies. The authenticated billing workflow and any accepted offer identify the options available to a specific subscription.

Cancellation prevents renewal after its effective date but does not automatically create refund eligibility. Charges incurred before the effective cancellation date remain due unless refunded under an applicable guarantee or required by law.

14. Acceptable Use and Resource Protection

You may not use Engazly unlawfully; access stores, accounts, data, or systems without authority; evade entitlements, limits, or security controls; introduce malicious code; interfere with service operation; probe vulnerabilities without permission; scrape or overload the service; use it for spam, fraud, deception, discrimination, infringement, or unlawful actions; or present Engazly outputs as guaranteed or verified results.

15. Merchant content, data, and feedback

As between you and Era Tech Global, you retain ownership of content and data you lawfully provide. You permit Era Tech Global to host, process, transmit, display, and otherwise use that material only as reasonably necessary to provide, secure, maintain, and improve the contracted service, subject to the Privacy Policy and applicable law.

We may use product feedback without an obligation to compensate you. We will not identify you publicly as a customer, publish a testimonial, or use your logo without separate permission.

16. Engazly intellectual property

Engazly software, workflows, designs, documentation, branding, and related intellectual property belong to Era Tech Global or its licensors. Subject to these Terms and applicable entitlements, Era Tech Global grants you a limited, non-exclusive, non-transferable, revocable right to use Engazly for internal business operations during the applicable service period. No ownership transfers to you.

17. Third-party services

Engazly depends on services that may include Shopify, Stripe, Google Cloud, communications, monitoring, and analytics providers. Third-party services have their own terms and may change, become unavailable, or experience interruptions. We may replace providers or integrations when reasonably necessary to operate or secure Engazly.

18. Privacy and security

The Privacy Policy explains how Era Tech Global handles personal information in connection with Engazly. We use controls designed to protect platform access, integrations, and data workflows, but no system is completely secure. You remain responsible for devices, personnel, credentials, connected accounts, and exported data under your control.

19. Service changes and availability

We may update, improve, restrict, or temporarily suspend parts of Engazly for maintenance, security, legal compliance, provider changes, capacity management, or product development. Preview and beta capabilities may change or be discontinued.

20. Suspension and termination

We may limit, suspend, or terminate access for material breach, fraud, unauthorized access, nonpayment, security risk, legal requirement, deliberate resource abuse, or conduct that threatens the service or another party. Where reasonable, we will provide notice and an opportunity to remedy the issue; immediate action may be necessary for security, fraud, legal, or operational risk.

21. Disclaimers

To the maximum extent permitted by law, Engazly is provided on an “as available” basis. Era Tech Global disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. This does not exclude rights that cannot legally be excluded.

22. Limitation of liability

To the maximum extent permitted by law, Era Tech Global and its suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, or for lost profits, revenue, goodwill, opportunities, or data arising from use of Engazly. These limitations do not apply where liability cannot legally be limited or excluded. Additional liability terms may appear in an accepted written offer.

23. Changes to these Terms

We may update these Terms for service, legal, security, or operational changes. The revised version will identify its update date. When required, we will provide reasonable notice of a material change. Continued use after updated Terms become effective constitutes acceptance where applicable law permits.
